is Brees THAT much better than Ryan [Brees #2 IMO, Ryan 9th 10th ish]....the answer is No. Take the deal for sure.

Rice needs to bounce back quick if not it's Rice < Austin tipping the scale in favor or side 2 considerably. I agree with samuelsosa, Brees has been off his game and Ryan on his for the most part so there's not much difference there. At least not enough to turn down what you're getting in return.
